               GENERAL CONDITIONS          Please take note of the stated information and conditions, which are understood as fully accepted by the purchaser upon the placement and acceptance of
               OF SALE                     the order.

               1. CONTRACT                 1.1 These general conditions of sale govern all present and future contracts between RIZOMA Srl and its customers for the supply of the products listed in the
                                           catalogues, price lists, on the website and on all forms and systems for direct and indirect sales.
                                           1.2 The Contract is considered concluded upon customer receipt of the order confirmation.


               2. ORDER ENTRY              2.1 Where items are marked with "Product available while stocks last” on the sales list, it is possible that, during the year, these stocks may become depleted
                                           without it being possible to promptly update the online and offline tools. In this case, the customer will be informed immediately upon receipt of the order.
                                           2.2 Articles marked as "New Product" on the sales list are products entered in the catalogue for the first time and may be subject to set-up and warehousing
                                           times which could delay the delivery of the first production batch.
                                           2.3 Items removed from the list are considered to be discontinued and will no longer be delivered.
                                           2.4 Minimum order quantities are governed by the commercial terms of the current year.
                                           2.5 Orders will be processed in accordance with stock availability at the time of the order confirmation.
                                           2.6 Orders received by RIZOMA Srl may not be changed after the date of receipt.
                                           2.7 Transport costs and customer returns are governed by current commercial terms. Otherwise, they shall be considered EXWORKS LOADED
                                           2.8 Pro forma invoices issued by RIZOMA Srl offices are valid within and no later than 15 days from dispatch to the customer. After this period, they will lapse,
                                           and engaged stocks will be released.


               3. PRICES AND DISCOUNTS     3.1 Discounts on list prices are governed by the commercial terms of the current year.
                                           3.2 Prices shown in price lists and made known to the customer in any form are understood to be in euro and include VAT, which will be calculated under the
                                           provisions of the law and on the basis of the VAT rules indicated in the order. In the absence of precise information, the general rules will be applied with VAT set
                                           at 22%, subject to changes in the law. If the VAT rate is changed, the final price will be automatically adjusted without changing the taxable amount.


               4. GOODS SUPPLIED UNDER     4.1 Goods supplied under approval remain the exclusive property of RIZOMA Srl and must be returned before 31 December of the current year. Otherwise, a
               APPROVAL                    regular invoice will be issued in accordance with the conditions of sale before the end of the current year.


               5. COMPLAINTS, RETURNS      5.1 This Contract is governed by ICC Incoterms 2010 rules.
               AND CREDIT NOTES            5.2 Receipt of goods: please check the condition of the packaging upon receipt of the goods. If the packaging appears to be damaged, it is necessary to accept
                                           the package with 'reserve' and retain the package in order to lodge a complaint with the courier. Otherwise, the company reserves the right not to accept the
                                           return.
                                           5.3 Inspection of the goods: a careful inspection of the goods (quality, required, conformity with requirements, defects) must be made at the time of delivery.
                                           Any complaints or returns must be sent in writing within 15 days from shipment of the goods from the RIZOMA Srl warehouses.
                                           5.4 Hidden defects must be reported in writing as soon as they are detected in order to allow RIZOMA Srl to make a detailed evaluation of the alleged defects.
                                           5.5 Returns: any returns must be agreed and authorised in writing. Returns received without authorisation shall be re-sent freight collect.
                                           5.6 Requests for returns made for reasons attributable to us, with or without replacement, will be considered only in exceptional cases.
                                           5.7 If we have authorised the return, the goods must be returned in perfect condition and in the original packaging—never having been used or installed on the
                                           customer’s vehicle—transport carriage free. Any customs duties shall be borne by the customer. Customers will be credited only after the returned goods have
                                           been inspected and found to be in perfect condition.
                                           5.8 Any credit due for Returns or other exceptional circumstances agreed on in writing in advance by the company shall be transferred through appropriate
                                           credit notes, which will be valid up to and no later than 31 December of the current year.

               6. CHANGE OF CUSTOMER       6 If the customer changes its store address, it must ask RIZOMA Srl for authorisation to continue to offer RIZOMA products in the new store; RIZOMA Srl shall
               PREMISES                    duly evaluate the feasibility of coexistence with other distribution activity in the area.


               7. GENERAL TERMS AND        7.1 Please refer to the individual commercial terms applied to individual customers.
               CONDITIONS OF PAYMENT       7.2 Failure to pay in accordance with the agreed commercial terms authorises RIZOMA Srl to suspend the shipment of any current orders, even if already con-
                                           firmed. Orders shall be dispatched only when full payment has been made.

               8. RESTRICTIONS             8 Any use of industrial or intellectual property rights owned by RIZOMA Srl must comply with its company guidelines, approved automatically with the opening
                                           of the RIZOMA dealer account.
